Ownership Structure

MEDRE utilizes a robust structure designed to ensure legal compliance, efficient management, and risk mitigation across its real estate portfolio. This structure involves a multi-entity setup across the Netherlands and Greece, and later the rest of the Mediterranean:

  • Dutch Token Company: Established in the Netherlands, this entity focuses on the issuance and management of MEDRE tokens. It will obtain the necessary authorizations as an ART issuer under the European Union’s Markets in Crypto-assets (MiCA) regulation. This company also oversees investor relations and ensures compliance with all relevant Dutch and European regulations.
  • Greek Operating Company: This entity, based in Greece, is responsible for the day-to-day management of the Dutch Token Company property portfolio. Its functions include:
    • Overseeing SPVs: The Greek Operating Company will have oversight of the individual SPVs, ensuring efficient property management and adherence to operational standards.
    • Property Management: This may involve handling tenant relations, property maintenance, and coordinating any necessary repairs or renovations.
    • Local Expertise: The Greek Operating Company provides on-the-ground expertise in the Greek real estate market, ensuring compliance with local regulations and efficient property management practices.
  • Greek SPVs: For each property acquired, a dedicated Special Purpose Vehicle (SPV) will be established in Greece. Each SPV will hold the legal title to its respective property. This structure ensures the isolation of risk associated with each individual property, safeguarding the overall portfolio.
  • Connecting the Entities: The Dutch token company will function as a holding company, owning shares in both the Greek Operating Company and each of the Greek SPVs. Profits generated by the SPVs will be distributed to the Dutch token company according to a clearly defined profit-sharing model.
